LEGAL AGREEMENT
These Terms and Conditions constitute a legally binding agreement between you and Cabinet Works regarding your use of our website, services, and manufacturing offerings. By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety.
If you do not agree with any provision of these Terms and Conditions, you must immediately discontinue use of our website and services. Your continued use following any modifications to these terms indicates your acceptance of such changes.

3. Conduct Requirements
When interacting with Cabinet Works, you agree to conduct yourself professionally and respectfully. Prohibited behaviors include:
- • Harassment, abuse, or threatening behavior toward our staff or representatives
- • Submitting excessive or frivolous inquiries that burden our resources
- • Attempting to defraud or deceive Cabinet Works in any transaction
- • Interfering with or disrupting our business operations or website functionality
4. Content Guidelines
Any content, specifications, or materials you submit to Cabinet Works must comply with applicable laws and must not infringe on the intellectual property rights of any third party. You are solely responsible for ensuring you have the legal right to submit and use any designs, logos, or other materials in your manufacturing projects.
5. Age Requirements
You must be at least 18 years of age to enter into this agreement and use our services. If you are under 18, you may only use our services with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms and Conditions.
6. Payment Obligations
You agree to pay all fees and charges associated with your orders in accordance with the payment terms specified in your project agreement. Failure to make timely payments may result in suspension of services, cancellation of orders, and potential collection action.
LIABILITY AND WARRANTIES
Disclaimer of Warranties
Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, Cabinet Works disclaims all warranties, including but not limited to:
- • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- • Warranties regarding the accuracy, reliability, or completeness of content
- • Warranties that our services will be uninterrupted, secure, or error-free
- • Warranties regarding the results obtained from use of our services
Product Warranties
Manufacturing warranties for specific products or services will be outlined in individual project agreements. These limited warranties are subject to proper use, maintenance, and compliance with specified operating conditions. Warranties do not cover damage resulting from misuse, modification, negligence, or normal wear and tear.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Cabinet Works, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- • Loss of profits, revenue, or business opportunities
- • Loss of data, goodwill, or reputation
- • Cost of procurement of substitute goods or services
- • Business interruption or work stoppage
Our total aggregate liability for any claims arising from or related to these Terms and Conditions shall not exceed the total amount paid by you to Cabinet Works during the twelve months preceding the claim.
Consequential Damages Exclusion
Cabinet Works shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, equipment failures, supply chain disruptions, or utility failures. Such events shall suspend our obligations for the duration of the delay.
INDEMNIFICATION OBLIGATIONS
You agree to indemnify, defend, and hold harmless Cabinet Works, its affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers from and against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your violation of these Terms and Conditions or any applicable laws or regulations
- Your use or misuse of our services or website
- Your infringement or violation of any third-party intellectual property rights
- Any content, specifications, or materials you submit to Cabinet Works
- Your violation of any rights of another person or entity
This indemnification obligation will survive termination of these Terms and Conditions and your use of our services.
PRIVACY AND DATA PROTECTION
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference. LEGAL INFORMATION AND DISPUTE RESOLUTION
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Jurisdiction and Venue
Any legal action or proceeding arising under or relating to these Terms and Conditions shall be brought exclusively in the federal or state courts located in Wayne County, Michigan. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.
Dispute Resolution Procedures
Before initiating any formal legal proceedings, we encourage parties to first attempt to resolve disputes through informal negotiation. Either party may initiate informal dispute resolution by providing written notice to the other party describing the nature of the dispute and proposed resolution.
Waiver of Class Actions
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
FORCE MAJEURE
Cabinet Works shall not be liable for any failure or delay in performing its obligations under these Terms and Conditions due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials. Performance shall be suspended for the duration of such force majeure event.
SEVERABILITY CLAUSE
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect and shall not be affected by the invalid, illegal, or unenforceable provision.
ENTIRE AGREEMENT
These Terms and Conditions, together with our Privacy Policy and any other legal notices or agreements published on our website, constitute the entire agreement between you and Cabinet Works regarding the use of our services. This agreement supersedes any prior or contemporaneous negotiations, discussions, or agreements between you and Cabinet Works, whether written or oral, regarding the subject matter contained herein.
NO WAIVER OF RIGHTS
No waiver by Cabinet Works of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.
ASSIGNMENT
You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions without our prior written consent. Cabinet Works may freely assign or transfer these Terms and Conditions, in whole or in part, without restriction. Any attempted assignment in violation of this provision shall be null and void.
TERMS MODIFICATION POLICY
Cabinet Works reserves the right to modify, amend, or update these Terms and Conditions at any time at our sole discretion. We will notify you of material changes by updating the effective date at the top of these terms and, when appropriate, providing additional notice through email or prominent website notification.
Your continued use of our services following the posting of revised Terms and Conditions means that you accept and agree to the changes. We encourage you to review these terms periodically to stay informed of any updates.
